BUNMI ONI & CADBURY NIGERIA PLC

The following statement is being issued by C. A. CANDIDE-JOHNSON ESQ., S.A.N., Counsel to Olubunmi Oni:

BUNMI ONI & CADBURY NIGERIA PLC
We represent Bunmi Oni, whose actions as Managing Director & Chief Executive Officer of Cadbury Nigeria Plc have been the subject of public speculation since 2006 and very public legal activity and comment in the past few days.

In December 2006 his exemplary career, spanning over 29 years of unblemished service to Cadbury Nigeria Plc was terminated on account of a judgment exercised by the management of the company in the face of a design and production crisis which challenged the company between 2002 and 2003. As CEO at the time, Bunmi Oni accepts his share of management responsibility. He also accepts his share of blame for collective actions taken in good faith, without intention for, and in respect of which no personal profits were made.

In November 2006 Bunmi Oni was expelled peremptorily and violently by Cadbury Nigeria, without any of his rights, entitlements or even a pension and has been legally isolated since that time. He has not been accused of stealing and indeed, in an interview published in The Guardian of Sunday September 30, 2007, the Chairman of Cadbury Nigeria Plc Imo Itsueli affirmed that “…there is no fraud; there is no money missing. A lot of people don’t understand that nobody stole X billions of naira. No, it didn’t happen”. This notwithstanding, public opprobrium and the burden of all responsibility has been designed to rest solely on him, for internal commercial or political or personal reasons. Added to this, and in an apparent object of rendering him completely destitute, SEC has until this time and without any order of court frozen dealings in his personal investments in publicly quoted Nigerian stocks unrelated to Cadbury Nigeria Plc.

Following the very harsh decision published on 10th April 2008 by the Administrative Proceedings Committee of the Securities & Exchange Commission purporting to ban him from corporate service for life, it is necessary to do the following:
1. To acknowledge responsibility for his own judgment and its impact on unknowing shareholders and other stakeholders.

2. To thank the very kind friends who have stood by him and offered him much needed personal and financial support in these last 17 months.
3. To affirm that his actions and those of his executive board colleagues were motivated by a deep sense of duty and commitment to the long-term safety of a great company whose fundamentals remain sound and which continues to exhibit the benefits of many years of dedicated and visionary management.
4. To initiate proceedings to challenge the decisions taken against him upon legal advice that these are discriminatory, excessive and ultra vires.


Our client is a humble and honorable man who was voted Nigeria’s Most Respected CEO in 2006. He will accept lawful penalty for any fault but he does not consider that his treatment as a “scape goat” and the pursuit of his complete extermination is warranted, just or lawful.

In a country where mediocrity reigns the otherwise few who strive to build lasting structures are being destroyed daily. If nobody raise their voice to stop this wave, such a system if unchallenged will overrun all our hopes for a better future. That is why I am in support of this resolution by Bunmi to challenge this affront and injustice.

These last few weeks have been traumatic for me, especially as I returned home after 10 years to contribute to the efforts to turn our country around for good. First, I watched with sadness, the continuing public humiliation and national embarrassment of our former Minister of Health. I am not prejudging the outcome of the court case, but she deserves a more humane and dignified treatment, for her contribution to this country and humanity. Then I read last week of the matter of Bunmi Oni and Cadbury. Each day, my hope dims for a better Nigeria. Each day, my anticipation wanes for a Nigeria we can be proud of. Each day, my faith fades for a country of decency and integrity. Each day, my expectation is dashed as my desire vanishes for a country where probity is the order of the day.
Bunmi Oni, was courageous and man enough, he was of sufficient integrity to take his share of management responsibility on account of a judgement exercised in good faith. I guess that was why he was once voted Nigeria's Most Respected CEO. Today, he is a man banned from corporate services for life!
Bunmi Oni's type is the lamb in the den of the hungry lions, but no matter, the lions will be helpless over his case. They will eat themselves up. In a country where the likes of corrupt Governors are smeared with national honours, where the decadent is elevated to the pedestal of honour, it is no surprise that those who would make Nigeria better, must be demolished. I support the move to get a court action to stem this injustice.

It's great to finally start hearing the other side of the story. I once worked at PwC, and i did overhear some gist with regards to financial mistatements on the part of Cardbury. The truth is financial information as stated by companies can to a large extent be subjective and still be within acceptable financial and sovereign company laws.

However, it could also be easy to indict management if the owners and more influential equity holders (expatriates in this case) have a score to settle. Welcome to the corporate war zone!
I strongly believe whatever Cardbury was accused of perpetrating (under Bunmi Oni) would certainly be incomparable with the tricks Nigerian Banks are playing with their financial (mis)statemets and their 'casino-like' profits that i believe are just in the books, and not real.

At a GARP conference i attended recently, Kim Norris (A Canadian, and Special Adviser to CBN Governor on Banking Supervision) confirmed the poor state of risk managment in our banks and expressed amazement and bewilderment at their soaring profits, but he also seemed pessimistic about significant improvement in the state of our financial services industry. I believe the Nigerian government hired him (and are paying him heavily) to help sanitise and wield his immense experience in proferring practical solutions to our problems, not join others in branding Nigeria a "unique" country where the laws of Economics do not work and Strange things happen.

We must break free from western ideologies (and those unfortunate Africans who have lost identity and walk in the darkness of destructive selfishness and social blindness), and then take hold of our destinies as Africans. Indeed, we need a "strategy of subversive rationalization" that will help mordernize and develop Africa in a unique way, and not in the way the washington concensus would eagerly dictate to us.

The Lord always vindicates his own and the truth would never be surpressed.

As Wole Soyinka said, 'The Man Dies who stays silent in the face of tyranny'. Having met and listened to you a few times and being conversant with the system, I do not in any way believe the allegations made.

Please keep praying and speaking, because you have been a shining light to those who intend to get to the top with integrity of heart. Remmember that darkness cant beat the Light, and yours is a flame that will never be doused.

You are an inspiration to many - those you know and those who have for a long while watched, listened and determined to walk and work in integrity knowing others like you have been able to do so and yet make a difference.

Glad to hear you are standing up for what is your right and taking responsibility to not be used, abused and dumped.

There is an army behind you, watching and working to make sure that Truth prevails and justice is served.
